Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions govern all quotations, orders, samples and sales supplied by Yiwu Jiteng Toys Co., Ltd. (“Jiteng Toys”, “we”, “us”) to any business buyer (“Client”, “you”). By placing an order, confirming a quotation in writing, or accepting a production sample, you confirm that you have read, understood and accepted these Terms. Terms that differ from these Terms bind us only if we accept them in writing.

2. Quotations and Orders

All quotations are valid for 30 days unless stated otherwise and are subject to final confirmation of specifications, materials, packaging and order quantity. An order becomes binding only when we issue a written order confirmation (including by e-mail) or receive the agreed deposit, whichever occurs first. We reserve the right to refuse or adjust any order that is below our minimum order quantity or that we cannot produce to specification.

3. Price and Payment Terms

Prices are quoted in the currency stated on the quotation and are exclusive of VAT, customs duties, import taxes and destination-country charges unless agreed in writing. Unless otherwise agreed in writing, production orders require a deposit of 30% of the order value before production starts, with the balance payable against a copy of the bill of lading or before dispatch, whichever is stated on the order confirmation. We reserve title to all goods until payment has been received in full. Late payment may delay production and delivery schedules.

4. Samples, Materials and Approval

Pre-production samples are provided for approval where agreed. Production is carried out according to the approved sample and the written specification confirmed on the order. Changes requested after sample approval — including material, color, artwork, packaging or quantity changes — may affect price, lead time and tooling, and will be confirmed in writing before implementation. Safety standards and testing requirements (for example EN 71, ASTM F963, CPSIA) must be specified by the Client in writing before sampling; testing of finished goods against destination-market requirements is arranged per the order confirmation.

5. Production and Lead Time

Lead times start from the later of (a) receipt of the agreed deposit and (b) final approval of all artwork, samples and specifications. Lead times are good-faith estimates and may be adjusted for material availability, public holidays in China, order volume and force majeure events. We will notify you in writing as soon as practicable if a schedule is at risk.

6. Quality, Inspection and Claims

Goods are produced under our internal quality-control procedures. Clients may arrange pre-shipment inspection by themselves or by a third-party inspection company, provided we receive reasonable notice and access. Claims for defects, shortages or wrong quantities must be submitted in writing within 15 days of receipt of the goods at the destination port, together with photographs, batch or carton numbers and the inspection report where available. Where a claim is verified, we will at our option repair or replace the affected goods, or issue a credit for the affected quantity.

7. Shipping, Delivery and Risk

Delivery terms follow the Incoterm 2020 rule stated on the order confirmation (for example FOB Ningbo, EXW, DDP). Risk in the goods passes to the Client in accordance with the agreed Incoterm. We select carriers and freight forwarders with care but act only as the Client’s agent for carriage where the Client arranges freight. Delivery dates are estimates and time of delivery is not of the essence unless separately agreed in writing.

8. Intellectual Property, Tooling and Confidentiality

The Client confirms that all designs, artwork, brands, characters and specifications supplied for production do not infringe third-party rights, and the Client remains responsible for obtaining any required licences. Where we develop designs, engineering drawings, molds or tooling at the Client’s cost, ownership of that tooling transfers to the Client once paid in full, and we will not use it for third parties without written consent. Both parties keep commercial and technical information of the other party confidential. Our own designs, catalogues and factory know-how remain our property.

9. Product Safety and Compliance Cooperation

We produce to the specifications agreed for each order and cooperate in good faith with the Client’s compliance and testing procedures for the destination market. The Client is responsible for determining regulatory requirements for the markets into which the goods are imported, including labeling, warnings, age grading, documentation and registration, unless expressly assumed by us in writing.

10. Limitation of Liability

To the maximum extent permitted by law, our liability under any order is limited to the invoiced value of the affected goods. We are not liable for indirect or consequential loss, including loss of profit, loss of business, or claims of the Client’s customers, except where such limitation is prohibited by mandatory law.

11. Force Majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, government actions, port congestion, raw-material shortages, power restrictions or labor disputes. The affected party must notify the other in writing and resume performance as soon as reasonably possible; if an event continues for more than 60 days, either party may terminate the affected order without liability except for goods already produced.

12. Governing Law and Disputes

These Terms and all orders are governed by the laws of the People’s Republic of China. Disputes that cannot be settled amicably within 30 days shall be submitted to mediation or arbitration in Yiwu, Zhejiang, or to the competent people’s court, as agreed between the parties.

13. Changes and Contact

We may update these Terms from time to time; the version in force is the one published on this page at the date of order confirmation. Questions about these Terms can be sent to us through the contact details published on our contact page.
